Loudiary – Terms of Use

These Terms of Use ("Terms") govern your use of Loudiary (the "App"), developed by Rhine Bird FZ-LLC ("Rhine Bird," "we," "us," or "our"). By downloading, installing, or using Loudiary, you agree to these Terms. If you don't agree, don't use the App.
For how we handle your data, see the Privacy Policy — it's part of these Terms by reference.
1. The app
Loudiary is a voice-note-taking app: record notes, get transcripts, summaries, titles, and search across your own notes. Some features run entirely on your device; others (Pro+) use cloud AI services and require an internet connection. Feature availability may also depend on your device's hardware (for example, on-device AI features require Apple Intelligence-capable hardware).
2. License
We grant you a personal, non-exclusive, non-transferable, revocable license to use Loudiary on Apple devices you own or control, for your own personal, non-commercial use, subject to Apple's own Media Services Terms and these Terms. You may not reverse-engineer, resell, sublicense, or use the App to build a competing product.
3. Your content
You own the recordings, transcripts, and notes you create in Loudiary ("Your Content"). We claim no ownership over it.
When you enable Cloud Features and use a cloud-powered action, you grant Rhine Bird and its processing vendors (currently Deepgram and Anthropic — see the Privacy Policy) a limited, temporary right to process the specific audio or text involved, solely to generate the result you requested. That's the only right we take, and it ends when the request completes — see Privacy Policy §2 for exactly how long anything is retained (at most 15 minutes, and never permanently).
You're responsible for what you record. Many places have laws about recording other people's voices — some require everyone in the conversation to consent, others only require one party to consent. It's your responsibility to know and follow the law that applies to you before recording anyone other than yourself.
4. Subscriptions
Loudiary offers a free tier and two paid subscription tiers (currently "Pro" and "Pro+"), each unlocking additional features as described in the App.
- Subscriptions are billed through Apple's In-App Purchase system, at the price shown in the App Store at the time of purchase. Pricing may vary by region and is subject to change for future billing periods (Apple will notify you of any price change before it applies).
- Subscriptions automatically renew for the same period unless auto-renewal is turned off at least 24 hours before the end of the current period.
- Your Apple ID account is charged for renewal within 24 hours of the end of the current period.
- Manage or cancel your subscription anytime in your Apple ID account settings — Loudiary does not have its own billing or cancellation flow, since Apple handles all payment processing.
- Refunds are handled by Apple according to Apple's own policies; we don't have the ability to issue refunds directly.
- Upgrading or downgrading between tiers takes effect according to Apple's standard subscription rules.
5. Acceptable use
You agree not to use Loudiary to:
- Violate any applicable law, including recording-consent laws (see §3)
- Attempt to bypass, probe, or abuse our backend, App Attest verification, or subscription entitlement checks
- Interfere with the App's operation or other users' use of it
We may suspend or terminate access for accounts or installations that violate these Terms.
6. Third-party services
Loudiary relies on services from Apple (device platform, In-App Purchase, on-device AI, App Attest), Deepgram (cloud transcription, Pro+ only), and Anthropic (cloud text generation, Pro+ only). Your use of Cloud Features is also subject to those providers being available and operating correctly; we aren't responsible for outages or changes on their end, though we'll work to route around or address them.
7. Disclaimers and limitation of liability
Loudiary is provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose. We don't guarantee transcription or AI-generated content will be accurate, complete, or error-free — always verify anything important yourself.
To the maximum extent permitted by law, Rhine Bird FZ-LLC is not liable for any indirect, incidental, or consequential damages arising from your use of the App, including loss of data. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Changes to these Terms
We may update these Terms as the App evolves. If a change is material, we'll make that clear in the App before it takes effect. Continuing to use Loudiary after a change takes effect means you accept the updated Terms.
9. Termination
You can stop using Loudiary and delete it at any time. We may suspend or terminate your access for a violation of §5. Sections that by their nature should survive termination (§3, §7) do.
10. Governing law
These Terms are governed by the laws of the United Arab Emirates. Disputes will be handled by the competent courts of Ras Al Khaimah.
